Plain terms for using Ziv.
The agreement between you and ADB Media LLC when you use the Ziv service — what we provide, what you agree to, and how disputes are handled.

1. Acceptance
These Terms of Service (“Terms”) form a binding agreement between you (“Customer”, “you”) and ADB Media LLC (“Ziv”, “we”, “us”) governing your use of the Ziv service, the app.myziv.ai portal, the api.myziv.ai API, and the marketing website at myziv.ai (collectively, the “Service”).
By creating an account, connecting an integration, or sending a message to a Ziv number, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
Ziv is an AI assistant that operates primarily through WhatsApp. You send text messages, voice notes, photos, and documents to a Ziv phone number; Ziv interprets the request and executes it using your connected business tools (such as Zoho Books, Zoho Calendar, Google Workspace, and the WhatsApp Business Platform).
The Service evolves continuously. We may add, change, or remove features without prior notice, but we will not materially reduce the core functionality of a paid tier during an active subscription period without offering a refund or credit for the unused portion.
3. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- You must provide accurate, current information when creating your account.
- You are responsible for the security of your account credentials and for all activity that occurs under your account.
- You must promptly notify us at security@myziv.ai of any unauthorized use of your account.
- One natural person or one legal entity per account; account sharing is permitted within a single organization but not across organizations.
4. Acceptable use
You agree not to:
- Use the Service to send spam, unsolicited bulk messages, or any communication that violates applicable anti-spam laws (TCPA, CAN-SPAM, CASL, GDPR, ePrivacy Directive, and similar).
- Use the Service to send messages to people who have not opted in by initiating contact with you, or who have asked you to stop contacting them.
- Use the Service for harassment, threats, hate speech, fraud, deception, or any unlawful purpose.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Resell, sublicense, or white-label the Service without our prior written consent.
- Use the Service in a way that interferes with other customers, overloads our infrastructure, or attempts to circumvent rate limits.
- Use the Service to develop or train any competing AI model.
- Violate the WhatsApp Business Messaging Policy or the Meta Platform Terms.
We may suspend or terminate your account immediately if we have a good-faith belief that your use violates these rules or harms other users, our providers (including Meta), or third parties.
5. WhatsApp messaging compliance
Ziv operates on top of the WhatsApp Business Platform. As a customer using Ziv to message your contacts, you are independently responsible for:
- Obtaining valid opt-in from each recipient before messaging them.
- Honoring opt-out requests promptly.
- Ensuring message content complies with WhatsApp's Business and Commerce Policies and applicable local laws.
- Maintaining accurate business profile information.
We may decline or remove messages we believe violate these requirements. Meta may suspend or terminate your WhatsApp Business Account independently of these Terms.
6. Subscriptions, billing, and cancellation
- Plans, pricing, and feature limits are described at myziv.ai/pricing.
- Subscriptions auto-renew at the end of each billing cycle unless cancelled in advance.
- Fees are billed in advance and are non-refundable except as required by law or as expressly stated in these Terms.
- You may cancel at any time. Cancellation takes effect at the end of the current paid period. We do not pro-rate partial months.
- We may change pricing on 30 days' notice; changes take effect at your next renewal.
- Pass-through costs (e.g., Meta WhatsApp conversation fees, telecom charges for outbound calls) are billed at cost or with a clearly disclosed margin.
- You are responsible for any taxes other than taxes on our net income.
- Late accounts may be suspended after written notice.
7. Third-party services
The Service connects to third-party services that you authorize, including AI providers (Anthropic, Google, OpenAI), the WhatsApp Business Platform (operated by Meta), Zoho, VAPI, Resend, and others. Your use of those services is governed by their respective terms and privacy policies.
We are not responsible for the availability, accuracy, or behavior of third-party services. If a third-party service is unavailable or changes its API, certain Ziv features may be temporarily or permanently affected.
8. Intellectual property
The Service, including all software, designs, copy, and trademarks, is owned by ADB Media LLC or its licensors and is protected by intellectual property laws. Subject to these Terms and your payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during the subscription term.
9. Customer data and feedback
You retain all rights in the data you submit to or generate through the Service (“Customer Data”). You grant us a worldwide, non-exclusive, royalty-free license to host, process, and transmit Customer Data solely as needed to provide the Service. We do not use Customer Data to train AI models.
If you provide feedback, suggestions, or feature requests, we may use that feedback without obligation to you, provided we do so without identifying you or your organization.
10. Disclaimer of warranties
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties — express, implied, or statutory — including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate, complete, or free of bias. You are responsible for reviewing AI-generated content before sending or acting on it.
11. Limitation of liability
To the maximum extent permitted by law, in no event will ADB Media LLC or its officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Service.
Our total aggregate liability arising out of these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months preceding the claim, or (b) one hundred U.S. dollars.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages, so some of these limitations may not apply to you.
12. Indemnification
You will defend, indemnify, and hold harmless ADB Media LLC against any third-party claim arising out of: (i) your use of the Service in violation of these Terms or applicable law; (ii) your Customer Data; (iii) messages you send through the Service; or (iv) your violation of third-party rights, including privacy and intellectual property rights.
13. Termination
- You may terminate your account at any time from the portal or by emailing support@myziv.ai.
- We may terminate or suspend the account on notice for material breach, non-payment, or as required by law or our providers (including Meta).
- On termination, your access ends and we will delete or de-identify your data within 30 days, subject to legal-hold requirements (see /data-deletion).
- Sections 8–12, 14, and any provisions that by their nature should survive termination, will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. The federal and state courts located in Broward County, Florida, will have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property.
Before filing a claim, you agree to first contact us at legal@myziv.ai and to attempt in good faith to resolve the dispute informally for at least 30 days.
15. Modifications
We may update these Terms from time to time. Material changes will be announced via email to account admins at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
16. Miscellaneous
- These Terms, together with the Privacy Policy and any order form, are the entire agreement between you and us.
- If any provision is held unenforceable, the remaining provisions remain in effect.
- Our failure to enforce a right is not a waiver of that right.
- You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
